Acceptance and Changes to These Terms
Services Offered
iCare Lab provides dental laboratory services including, but not limited to:
- Restorative dentistry (crowns, bridges, inlays, onlays)
- Implant prosthetics (abutments, implant crowns, bridges)
- Orthodontic appliances (braces, aligners, retainers)
- Cosmetic dentistry solutions Cosmetic dentistry solutions
- Removable prosthetics (dentures, partials)
Orders and Case Specifications
- We manufacture laboratory work using the prescription, specifications, impressions, scans and clinical instructions supplied by the dental practice. The dental practice is responsible for their clinical accuracy and completeness. We remain responsible for carrying out the laboratory work with reasonable care and skill and for meeting the specifications we have accepted. Nothing in this clause excludes responsibility for an error caused by iCare Lab.
- Cases must include all necessary clinical information, impressions, photographs, and written instructions. Incomplete submissions may result in delays or rejection of the case.
- All orders are subject to acceptance by iCare Lab. We reserve the right to decline cases that do not meet our quality standards or specifications.
Pricing and Payment
- Prices are based on the information and specifications supplied for the case. If incomplete information, a changed specification or additional work affects the price, we will notify the dental practice and obtain approval before carrying out the additional chargeable work. Changes to our general fee schedule do not affect an order already accepted unless agreed in writing.
- Payment terms are specified in your quotation or order confirmation. Payment must be received before case release, unless credit terms have been formally agreed in writing.
- Late payment may result in suspension of services and may incur additional charges as permitted by law.
- All prices exclude VAT where applicable, which will be added to your invoice.
Delivery and Turnaround Times
- Turnaround times are provided as an estimate and are dependent on case complexity, order volume, and completeness of submitted specifications. iCare Lab will make every effort to meet stated deadlines.
- We will use reasonable efforts to meet an agreed turnaround time. We are not responsible for delay caused by incomplete or inaccurate instructions, late delivery of materials, requested changes, events outside our reasonable control or a delivery provider not under our direct control. Nothing in this clause excludes liability that cannot lawfully be excluded.
- Delivery arrangements are the responsibility of the referring dental practice unless alternate arrangements are explicitly agreed in writing.
Quality, Inspection and Warranty
- We will manufacture laboratory work with reasonable care and skill, in accordance with the accepted prescription and applicable UK medical-device requirements, including the UK Medical Devices Regulations 2002 where they apply.
- The dental practice must inspect each item promptly after delivery. Visible delivery damage, an incorrect item or an obvious failure to follow the accepted specification must be reported within 14 days of receipt. Failure to report within 14 days does not remove any right relating to a latent defect that could not reasonably have been discovered during that period.
- Subject to the exclusions below, we warrant the laboratory work against defects in materials or workmanship for 12 months from the delivery date.
- The warranty does not cover:
- Normal wear and tear
- Accidental damage or patient misuse
- Damage caused by bruxism, trauma or a relevant clinical condition unless expressly covered in writing
- Incorrect fitting, adjustment, repair, handling or maintenance by a person outside iCare Lab
- Inaccurate or incomplete prescriptions, impressions, scans or clinical information supplied to us
- A requested alteration that departs from our written recommendation
- A warranty claim must be made promptly after the defect is discovered. The dental practice must provide the relevant case number, an explanation of the problem and any reasonably required photographs, scans or returned item.
- If a valid warranty claim is accepted, we will repair or remake the affected work within a reasonable time.
- This warranty does not exclude any right or remedy that cannot lawfully be excluded.
Limitation of Liability
- Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Breach of any obligation that cannot lawfully be excluded or limited
- Any other liability that the law does not permit us to exclude or limit
- Subject to clause 7.1, neither party is liable to the other for indirect or consequential loss, loss of profit, loss of anticipated savings, loss of business or loss of goodwill arising from an order.
- Subject to clause 7.1, iCare Lab is not responsible for loss caused by inaccurate or incomplete prescriptions, specifications, impressions, scans or clinical instructions supplied by the dental practice, except to the extent that iCare Lab caused or contributed to that loss.
- Subject to clause 7.1, iCare Lab’s total liability arising from an individual order will not exceed [INSERT A REASONABLE LIABILITY CAP—FOR EXAMPLE, A MULTIPLE OF THE ORDER PRICE OR AVAILABLE INSURANCE COVER]. This amount must be reviewed to ensure that it is reasonable and enforceable for the relevant contracts.
- Each party must take reasonable steps to minimise any loss it suffers.
Intellectual Property
All designs, processes, and innovations developed by iCare Lab in the course of providing services remain the intellectual property of iCare Lab, unless otherwise agreed in writing. The dental practice may use the laboratory work only for the patient for whom it was created.
Confidentiality
Both parties agree to maintain confidentiality regarding all case information, business practices, and pricing information shared between them, except as required by law or in defence of legal claims.
Termination
iCare Lab may terminate its services to any dental practice at any time with 30 days’ written notice. In the event of termination, any outstanding cases will be completed according to the agreed timeline, and all outstanding invoices must be paid.
Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from these terms.
